Agreement to these terms
These Terms of Service (“Terms”) govern your use of KinetiX, operated by Opex Consulting Group (“OpexCG”, “we”, “us”), based in Singapore. By using KinetiX you agree to them. If you use KinetiX for a company, you confirm that you may bind that company, and “you” includes it.
Where a company has signed an order form or separate agreement with us, that document and these Terms apply together. If they conflict, the order form or separate agreement prevails.
The service
KinetiX is a chat-first interface to Epicor Kinetic. It lets people ask questions about their Epicor data and describe what they want built, and it runs the resulting requests against their company’s Epicor instance. It is available as:
- a web chat at
/chat; - a Chrome side-panel extension;
- an MCP server at
/mcp, for MCP clients such as Claude and ChatGPT; - the
epicommand-line tool, which runs on your machine and talks to Epicor directly; - an administrator page at
/adminwhere Epicor connections are managed.
Epicor and Kinetic are trademarks of their owners. KinetiX is a product of OpexCG and is not an Epicor product. We may change, suspend or discontinue features.
Accounts and access
KinetiX has no separate user accounts. You sign in with your own Epicor username and password against an Epicor connection that an administrator has registered, and KinetiX acts as you in Epicor with your Epicor permissions. You must:
- use only credentials you are authorized to use;
- keep your credentials and any API key or service account secret;
- tell us promptly at marketing@opexcg.com if you think they have been exposed;
- be at least 18 years old and able to enter a contract.
The company that owns the Epicor instance is responsible for who may sign in, for the permissions of those people in Epicor, and for holding the rights it needs under its Epicor license to use the Epicor REST API with KinetiX. Administrators are responsible for the accuracy of the connections they add and for the credentials they store in them.
Administrator access is by an emailed one-time code and is limited to a list we maintain.
Approvals and your responsibility for changes
In the chat and the side panel, the assistant reads Epicor data straight away. Any change to Epicor data (a record edit, a new or changed BAQ, report or menu) is shown first on an approval card with the details, and runs only when the user approves it. Approving is a decision by the user, and the change runs under the user’s own Epicor account.
The user and the company that owns the Epicor instance are responsible for every change they approve, including its effect on data, reports, users and downstream processes. Review each card before approving. Test changes on a non-production instance first where your company requires it, and keep your own backups of Epicor.
When you connect an MCP client, you can grant read access only, or read and write. If you grant write access, how and when that client asks you to confirm an action is up to the client. Grant write access only to clients you trust. A connection granted read access only cannot run changes.
AI output can be wrong
The assistant uses a language model. It can misread a question, choose the wrong table or field, or state something that is not true. Answers show the lookups that produced them so you can check. You must review answers and proposed changes before relying on or approving them. Do not use KinetiX as the only basis for a financial, legal, safety, compliance or regulatory decision.
How we handle the data sent to the model is described in the Privacy Policy.
Acceptable use
You agree not to:
- use KinetiX for anything unlawful, or against the terms of your Epicor license;
- access an Epicor instance you are not authorized to use, or try to get around Epicor permissions, approvals or read-only grants;
- share your sign-in with others, or use it to act for someone else;
- probe, scan or test KinetiX’s security without our written permission (see the security page for how to report a vulnerability);
- send malicious code, or disrupt or overload KinetiX or its servers;
- use automated means to access KinetiX other than through its MCP interface or the tools we provide;
- reverse engineer or copy KinetiX, other than as the law allows.
We may suspend access that breaks this section.
Availability and third parties
We aim to keep KinetiX available but do not promise uninterrupted or error-free service. KinetiX depends on services we do not control: your Epicor instance and the network path to it, Cloudflare (hosting, storage, email and the AI model), and any MCP client you use. If your Epicor is down, slow or unreachable, KinetiX cannot answer or run changes. We may also pause the service for maintenance or for reasons outside our control. Any service level for a paying customer is set out in its order form.
Fees
List prices are on the pricing page, in US dollars and before tax. The fees that apply to you, the billing period, payment terms and the scope and length of any Pilot are set in the order form we agree with you, and the order form wins over the pricing page. Unless the order form says otherwise, fees are payable in advance and are non-refundable except where the law requires. We may suspend service for unpaid fees after notice to you.
Ownership and your data
KinetiX, including its software, design, text and marks, belongs to OpexCG and is protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable right to use it during your access to it, under these Terms.
You keep all rights in your Epicor data and in what you type into KinetiX. You allow us to process them only to provide KinetiX to you, as described in the Privacy Policy. You confirm you have the right to give us access to data in your Epicor, including any personal data in it.
If you send us feedback, we may use it to improve KinetiX without owing you anything for it.
Warranties and liability
To the maximum extent the law allows, KinetiX is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the maximum extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or business interruption, arising from your use of or inability to use KinetiX. This includes loss caused by a change you approved, or by AI output you relied on.
Our total liability for all claims relating to KinetiX is limited to the fees you paid us for it in the 12 months before the event that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
Indemnity
You will defend and hold OpexCG and its officers, employees and agents harmless from claims, losses and expenses (including reasonable legal fees) arising from your use of KinetiX in breach of these Terms, changes you approve, or your infringement of another party’s rights.
Termination
You can stop using KinetiX at any time, and an administrator can delete an Epicor connection. We may suspend or end your access immediately if you breach these Terms, do not pay fees when due, or use KinetiX fraudulently or unlawfully. We may also end it for any other reason with 30 days’ notice. When access ends, your right to use KinetiX ends. Stored connection and sign-in data are removed as set out in the Privacy Policy, and the sections on ownership, liability, indemnity and governing law continue to apply.
Governing law
These Terms are governed by the laws of Singapore, without regard to its conflict of law rules. Disputes arising from them are subject to the exclusive jurisdiction of the courts of Singapore.
Changes and general terms
We may update these Terms. We will post the new version on this page with a new “Last updated” date, and continued use of KinetiX after that means you accept it. If any part of these Terms is held unenforceable, the rest stays in effect. These Terms, with any order form, are the whole agreement between you and us about KinetiX. This version took effect on 30 October 2026.
